2007 FUZHOU INVESTMENT GUIDE

Foreword

Fuzhou, also called “the City of Banyan” for short, is the provincial
capital and central city of Mainland China nearest to Taiwan. Located
in Fujian Province, the Economic Zone on the Western coast of the Taiwan
Straits, Fuzhou is reputed as a famous national historical and cultural

Climate advantage in Fuzhou subtropical marine monsoon climate, mild

Center (Wushan) is located at 26° 05’ north latitude and 119° 17’
east longitude.
Geographical advantage in Fuzhou Pingtan County, Fuzhou Municipality
faces Taiwan just across Taiwan Straits with the nearest distance of
68 sea miles while Huangqi Port just 4.9 sea miles from Mazu.
Fuzhou administration division 5 districts under jurisdiction (Gulou,

Main targets of national economy and social development for Fuzhou in the
year 2006:
u The municipal GDP was RMB165.69 billion yuan(USD$21.24 billion), a rise
of 12.2% year-on-year;
u The municipal fiscal revenue was RMB23.57 billion yuan(USD$3.02 billion),
a growth of 20.6% year-on-year;
u The municipal retail sales of social consumables totaled RMB 77.55
billion yuan(USD$9.94 billion), increased by 17% compared with that of the
previous year;
u The municipal export & import amount was USD$ 15.75 billion; increasing
by 16.4% over the previous year.
Export products mainly cover 22 varieties, such as electronics, machinery,
footwear, textiles, light industry, food, metal and craftwork.Import

Located at the center of a basin, Fuzhou Municipality is transversed by
Minjiang River and Oolong River that run into East Sea. Thus the landscape
layout of “mountains to the back and facing the ocean while being bordered

Fuzhou is one of the three major hot spring regions in China with an annual
supply volume of 3 million cubic meters. Its hot spring resources are
characterized with shallow embedding, high water pressure, high temperature,
and good quality.

Fuzhou boasts profound cultural groundwork. As early as in the Tang Dynasty,
colleges were founded here. Since the Ming and Qing Dynasties, a galaxy of

Infrastructures
Fuzhou provides convenient traffic and a complete infrastructure. Fuzhou

(1) Airports so far 68 routes have been opened with 390 flights provided
weekly, including the international routes such as Bangkok of Thailand,
Singapore, Kuala Lumpur, Hong Kong and Macao. Also the routes to Japan
and America will be opened in the near future.

(2) Seaports There are 25 deep-water berths of over 10,000 tons in Fuzhou.
With the largest capacity of 100,000 tons, the sea routes have extended
to more than 40 countries and regions around the world including Europe,
America, and Japan. In 2006 nearly 90 million tons of cargo was handled.
Its container import and export volume has exceeded one million standard
containers, ranking it among the 12 top domestic container ports and the
world’s 100 top container ports.

(3) Land Transportation So far a total of 275 km of expressways has been
completed and opened to traffic in Fuzhou. Shenyang-Haikou Expressway,
Fuzhou--Yinchuan Expressway and three national highways, namely, No.104,
324 and 316 assemble here. As for railways, in addition to Waifu
(Waiyang-Fuzhou) way and Hengnan (Hengfeng-Nanping) way, Fuwen
(Fuzhou-Wenzhou) way and Fuxia (Fuzhou-Xiamen) costal railways are under
construction. When these railways are completed, Fuzhou will boast even
greater railway transport abilities.

(4) Telecommunications Fuzhou leads the whole country in telecommunication.
In 2006, the total program-controlled capacity in Fuzhou reached 3.79
million, and the average telephone rate was 48 telephones/hundred people
in the whole city and 80 telephones/hundred people in the city area. The
public telecommunication net with advanced technologies connecting the
various areas in the world has been constructed including optical cable,
digital microwave, mobile telecom, program-controlled exchange, digital
communications and broadband multi-media communications.

Productive factors:
(1) Water Supply
In the urban area, there are 6 running water works with the combined water
supply capacity of nearly 1.51 million tons per day, which can fully meet
the needs of urban life and production. Five sewage treatment plants have
been completed with a total daily handling capacity of 365,000 tons. One
more sewage treatment plant is under construction with a designed daily
handling capacity of 100,000 tons.

(2) Power Supply
Fuzhou now has 430 power plants (including small-sized hydropower plants
and wind power plants), with the total capacity of electricity totaling
4.52 million KW/day and supplies 17.501 billion of KW/h of power in total
/year. Three group companies in the 5 top Chinese power companies, namely,
Huadian Power Generation Co., Ltd., Guodian Power Generation Co., Ltd.,
and Huaneng Power Plant as well as Luneng Group all have made investment
in Fuzhou. The power supply of Fuzhou not only meets the demands of
production and life in Fuzhou itself but also is transported and sold
outside Fujian Province.

(3) Gas Supply:
The supply capacity of liquid petroleum gas is 128 thousand cubic meters
per day in Fuzhou, which can fully meet the gas requirement of both
production and daily life. A project for liquid natural gas has been
introduced by a Indonesian firm and has begun construction. Its daily
gas supply is estimated to reach 0.5 million cubic meters upon completion
in 2009.

(5) Abundant talent resources:

Fuzhou boasts advanced educational levels and is reputed as a famous
academician city in China as it has become the birthplace of 56
academicians of the Chinese Academy of Engineering and Chinese Academy
of Sciences. There are 37 higher education institutions including,
Fuzhou University and 113 secondary polytechnic schools. 227 thousand
and 129.6 thousand students have studied respectively. Over 6000 talented
people are in reserve in the talent reserve centers at the municipal
level. Rich talent resources have provided abundant intelligent support
for the enterprises seeking investment and development opportunities in
Fuzhou.

The average salary of a production employee in the foreign-invested
enterprises of Fuzhou varies between RMB600-1000 yuan/month
(USD $76.9-128.2 dollars/month), depending on the economic situation
of different counties or cities.

4. Taxation policies:
In accordance with the Law on Corporate Income Tax of the People’s
Republic of China (hereinafter called the Law on Corporate Income
Tax for short) promulgated on Mar. 16, 2007, corporate income tax is
25%; small-sized low-profit enterprises meeting the related conditions
may have the tax reduced by 20%; the hi-tech enterprises needing key
support from the state may have the tax reduced by 15%; and those
enterprises engaged in agriculture, forestry, livestock, fishery,
public infrastructures needing key support from the state, and
qualified environmental protection, energy and water saving as well
as technical transference may be totally or partly exempted from the tax.

As stipulated by the Law on Corporate Income Tax, the enterprises
approved to be founded before the law was promulgated were entitled
to low-rate preference in accordance with the then prevailing taxation
laws and regulations, and may gradually be changed to the tax rate
stipulated by the law within 5 years of the law being put into effect
(Jan. 1, 2008); the enterprises entitled to regular preference of tax
reduction and exemption may go on enjoying the preference until
expiration after the law is put into effect.

Investing in Fuzhou
Developing a certain scale of industrial clusters

Aiming at constructing an advanced manufacturing industry base on the
Western coast of Taiwan Straits, Fuzhou has initially formed a group
of scaled industrial clusters focusing on such advantageous industries
including, electronic information, automobile and fittings, metallurgy,
textiles, ship building and repair, food processing and plastics. The
industrial output value of hi-technical industry has accounted for 30%
of the total industrial output value of Fuzhou.

The industrial cluster of electronic information at present there are
over 300 various electronic information enterprises mainly located in
Mawei, Fuqing and Changle as well as the National (Fuzhou) Display
Apparatuses Industrial Park and the National (Fuqing) Display Industrial
Park; Top Victory Electronics (Fujian) Co., Ltd. ranks the first in
output of liquid crystal display; CHUNGHWA PICTURE TUBES (FUZHOU) LTD.
is the world’s largest production base of color display picture tubes;
Hitachi TV, Toshiba Lighting, Ricoh rapid duplicating machines and other
world-famous brands are produced in Fuzhou. The industrial cluster gives
first priority to the upstream and downstream of the display industry and
develops such products as display panels, chips, LCD TV sets, computers
and LED screens.

The industrial cluster of automobiles and fittings mainly located in
Qingkou, Minhou, Fuqing, etc.; at present there are two whole-automobile
factories, namely, Southeast and DaimlerChrysler, as well as such famous
auto fittings factories as Fuyao Group Glass Industries Co., Ltd.,
including 38 Grade-One fittings factories and 252 Grade-Two and
Grade-Three facilities. The industrial cluster gives first priority to
developing the manufacture of whole automobiles and fittings, lengthen
and expand the auto industrial chain.

The industrial cluster of textile mainly located in Changle City, which
is one of our country’s textile industrial bases, the largest cotton
and textile production base in Fujian and one of the three national
million-spinning bases. The industrial cluster gives first priority to
developing functional fibers, producing various outside materials, and
improving the level of dyeing and management industries to form a
one-stop development and production integrating system including,
textile, weaving, dyeing and clothes making.

The industrial cluster of metallurgy mainly located in Changle, Fuqing,
Mawei, Luoyuan and Lianjiang; at present there are such iron & steel
manufacturers as Wuhang Stainless Steel Co., Ltd., the third largest
domestic stainless steel productive base, Xinhai Metallurgical Co., Ltd.,
and Yixin Iron & Steel Co., Ltd. as well as such non-ferrous metal
manufacturers as Chinalco Ruimin Co., Ltd. and Southern Aluminum Industry
(China) Co., Ltd. The industrial cluster gives first priority to smelting
such non-ferrous metals as copper, aluminum, nickel, magnesium, cobalt,
titanium, and molybdenum as well as their deep processing, developing
stainless steel and its deep processing, and promoting the penetration
of large-sized metallurgical projects into such coastal areas as Jiangyin
and Luoyuan Bay.

The industrial cluster of ship building and repair mainly located in
Mawei, Changle, Lianjiang, Luoyuan, Pingtan, etc.; at present there are
such dominant enterprises as Mawei Dockyard, the first contemporary
modern dockyard in China and Southeast Dockyard; a ship building and
repair industrial system that is multi-functional, multi-leveled, and
integrates multiple economic factors has been developed. The industrial
cluster gives first priority to expanding and strengthening the Mawei
Dockyard, Southeast Dockyard and developing a support structure in the
shipping industries.

The industrial cluster of electrical machinery mainly located in Jinshan,
Fuzhou, Lianjiang, etc.; at present there are such domestically famous
enterprises as Guancheng Datong, Tianyu Electrical and Jinfeiyu Diesel
Engine, whose products and technology lead the whole country. The
industrial cluster gives first priority to developing high-power generator
units, special enameled wiring, switch cabinets, numerical control machine
tools, packing machinery, textile machinery, etc., and the manufacturing
of brand name products with outstanding advantages with regard to
autonomous intellectual property rights and highly technical content.

The industrial cluster of foodstuff so far Fuzhou has formed such
industries as foodstuff manufacture and processing, eel roasting, aquatic
products refrigeration, culture and processing, as well as a beer brewery
which is located in the development zones of Fuqing City and Lianjiang
County. Fuzhou also leads the whole country in aquatic products, culture
and processing. The industrial cluster gives first priority to developing
such industries as raw food material processing, aquatic product
processing, health and green foods, vegetable refrigeration and processing,
processing of fruits and edible fungi, processing of fruits, vegetables,
drinks and tea, rapid frozen foods, instant foods, and leisure foods.

The industrial cluster of plastic products so far there are nearly 600
plastic enterprises mainly located in Fuqing and Jin’an, 218 of which
produce products including PVC plastics and leather, daily-use plastic
products, packing plastics, extension materials, etc., PVC large-sized
inflateble toys occupied 60% of European and American markets. The
industrial cluster gives first priority to developing plastic tubulars,
display shells, toy plastics and daily-use plastic products.

Software industry at present there are over 300 information service
enterprises, among which are Fufu Software, Rongji Software and Newland
are key national software enterprises; the industry of financial terminals
(POS) ranks the first in China; Cisco and Oracle software system companies
have entered Fuzhou; the external contracting of offshore services focused
on IT service has developed so quickly, that a good foundation for
developing animated cartoons has been set up; Fuzhou has witnessed the
vigorous development of 17173.COM, a famous online game website and such
dominant animated cartoon and game enterprises as Wanglong. The industry
mainly relies on software parks and focuses on developing applied software,
animated cartoons & game software, integrated circuit design and the
software industry integrating software and hardware.

Modern logistic industry: the logistic service enterprises in Fuzhou have
taken the development path of integration, networking, scale, and
internationalization ,thus initially forming a diversified development
pattern. So far there are nearly 1000 logistics-related enterprises. 4
of which rank among the 100 top Chinese logistic enterprises of 2006.
The industry focuses on cultivating such logistic parks as Jiangyin Port
Zone, Songxia Port Zone, Port Zone inside Minjiang River Mouth, Luoyuan
Bay Port Zone, Changle Airport Zone and the railway freight station.

on both banks of the Minjiang River and the protection of the historical

1. Free Charge D’affaires System

Free Charge D’affaires Offices have been set up in all industrial zones
and investment zones. All the necessary documents submitted by the foreign
investors for the invested projects in Fuzhou districts will be handled
free of charge by the local Free Charge D’affaires Offices for approval
from the government functional departments within the fixed time listed.

2. Examination and Approval in a Fixed Time System

When the foreign investors invest in Fuzhou districts and report to the
government departments, every government department shall go through the
examination and approval procedure within the fixed time listed. If there
is any delay in approving, the functional responsibilities will be held
accordingly.

3. Inspection Reported for Record System

Any inspection made by each relative department to the foreign-funded
enterprise shall firstly be approved by the Fuzhou Municipal Government
and then show the administrative law enforcement certificate and the
inspection license, and fill in the inspection registration certificate
printed by the supervisory organs.

4. Unified payment

Foreign funded enterprises shall pay to Fuzhou tariff bureau according
to the tariff standard stipulated in <Fuzhou Tariff Manual for
Enterprises>. Any excess above the stipulated standards can be refused.

5. Convenient Entry Administration

Fuzhou is one of the state-designated visa-granting ports for Taiwan
companions. They can handle visa-granting formalities at both Fuzhou
Changle International Airport and the direct ports of Mawei,
Fuzhou----Mazu, Taiwan. Taiwan fishers can handle landing certificates
at designated parking spots for Taiwan ships.

6. Reduction & Exemption of Customs Taxes

Except the commodities listed in Brochure of Import Commodities as Not
Exempted from Taxes for Foreign-funded Projects, all the self-use
equipment imported within the total investment amount for the
foreign-funded projects , are encouraged and transfer technologies
according to the Guiding Contents. Foreign-Investment Industries
are exempted from all tariffs and import value-added tax.

7. Service Center for Foreigners:

Municipal Government has a specially set up a service center for
foreigners, which undertakes to provide the related service’s to the
foreigners in Fuzhou and help them overcome the inconveniences stemming
from differences in language, culture and customs.

Procedure of Founding a Company in Fuzhou

I. Approval flow of foreign-funded projects in Fuzhou

II. Apply for setting up a joint venture, a cooperative enterprise or
wholly foreign-funded enterprise:

Conform to the Corporate Law of the People’s Republic of China;

Republic of China, the Law on Sino-foreign Cooperative Enterprise
of the People’s Republic of China, and the Law on Foreign-funded
Enterprise of the People’s Republic of China as well as the
corresponding implementation rules.
Conform to the stipulations on the projects to be encouraged, permitted
or limited in Guiding Contents of Foreign-Investment Industries as well
as state macroscopic regulation policies.

2. Documents to be submitted for setting up a joint venture or a
cooperative enterprise:
1. Report of investor on application for setting up a joint venture or
a cooperative enterprise (original);
2. Application form for founding foreign-funded enterprise (downloaded
from www.fiet.gov.cn and filled in)
3. Approval file or transmission report of the competent department of
foreign economy and trade in the county or district where the enterprise
will be founded (to be provided when submitted to the certificate-issuing
organ for approval or certificates are verified and issued) (original)
4. The company’s contract and articles of association (original)
5. Application report for project verification and approval (for file)
and the document for project verification (for file) issued by the
project-approving department (required for the projects that must be
submitted for province-level approval or demand the handling of
confirmation of tax-exempt import equipment projects)
6. Resolution of the reinvestment shareholders’ society for the Chinese
joint investment (cooperative) party
7. Joint investment and cooperative agreement signed by all parties
(original)
8. Documents certifying the identity of all joint investment (cooperative)
parties or registration; foreign investors shall provide the documents
certifying the investors’ identity or registration notarized and
certified according to law;
9. Credit certificates on all joint investment (cooperative) parties (the
Chinese party submits the capital verification report and audit report
issued by CPAs, and when state-owned assets are concerned, capital
evaluation report and the evaluation confirmation of state-owned asset
management department shall be attached) (original)
10. Power of attorney on foreign investors dispatching legal documents
11. Memorandum name list signed by members of the Board of Directors or
Shareholders’ Society, executive directors, or legal representatives
12. Letters of appointment signed by the legal representatives of all
investors for members of the Board of Directors or Shareholders’ Society,
executive directors, or legal representatives and photocopies of their ID
cards
13. Contract and list signed by Chinese and foreign parties for imported
equipment which is invested by the foreign party in the form of real
objects (original)(equipment contract may be submitted for approval
separately)
14. Use certificate of the production and operation sites (or land)
(including lease contract and ownership certificate) (photocopy)
15. Approval notice of registration of the name of the enterprise
(photocopy)
16. Other documents required by approving authorities

enterprises:
1. Report of investor on application of setting up wholly foreign-funded
enterprises (original)
2. Application form for founding foreign-funded enterprise (downloaded
from www.fiet.gov.cn and filled in)

foreign economy and trade in the county or district where the enterprise
will be founded (to be provided when submitted to the certificate-issuing
organ for approval or certificates are verified and issued)

Major Investment Zones in Fuzhou

So far Fuzhou has 14 development zones in total, including 6 state-level
zones:Two state-level economic and technical development zones: Fuzhou
Economic & Technical Development Zone and Fuqing Rongqiao Economic &
Technical Development Zone. One national hi-tech industrial development
zone: Fuzhou Scientific and Technical Park. One state-level Taiwan

As a national advanced municipality in sci-technical progress, in 2006
Fuzhou was ranked among the “10 most competitive manufacturing cities

co-sponsored by China National Industry & commerce Federation and two
